(NYSE MKT: PVCT, www.pvct.com), a clinical-stage oncology and dermatology biopharmaceutical company ("Provectus" or the "Company"), today announced the pricing of an underwritten public offering of 17,500,000 shares of common stock and warrants to purchase 17,500,000 shares of common stock with a public offering price of $0.75 for a fixed combination of one share of common stock and a warrant to purchase one share of common stock. The warrants have an exercise price of $0.85 per share, are exercisable immediately, and will expire five years from the date of issuance. The Company expects to receive gross proceeds of approximately $13.1 million, before deducting underwriting discounts and commissions and other estimated offering expenses. The Company has also granted the underwriters a 45-day option to purchase up to an additional 2,625,000 shares of common stock and/or warrants to purchase up to an additional 2,625,000 shares of common stock to cover over-allotments, if any.
The offering is expected to close on or about June 24, 2015, subject to customary closing conditions.
Maxim Group LLC is acting as sole book-running manager for the offering.
Provectus intends to use the net proceeds of the offering for clinical development, working capital and general corporate purposes.
